For a year now, starting from July 2025, JSC “State Joint Stock Company“Automobile Roads of Ukraine” has been implementing a policy of systematicinventory of movable and immovable property of the Company’s subordinate roadmaintenance companies, with the aim of its effective use in the process of operationalmaintenance of public roads – both state and local.

And in the event of a lack of assets, especially in terms of specialized road equipmentand special mechanisms, it conducts official inspections of subsidiaries (SEs) in orderto search for missing equipment, the state of preservation of vehicles that arerecorded as available, as well as the appropriateness of the fulfillment by officials oftheir duties regarding the effective management, accounting and preservation ofmovable property assigned to the SE.

Based on the information received, not only management decisions are maderegarding SE officials, but also active work is being carried out with relevant lawenforcement agencies.

Only since the beginning of this year, the management of JSC “State Joint StockCompany “Automobile Roads of Ukraine” initiated the submission of a significantlist of statements about the commission of criminal offenses to:

National Anti-Corruption Bureau of Ukraine;

Prosecutor General’s Office of Ukraine;

Security Service of Ukraine;

Department of Strategic Investigations of the National Police of Ukraine;

regional prosecutor’s offices.

Continuing to purposefully protect assets, the owner of which is 100% the State ofUkraine, the Company’s management sent a new “Statement about the commissionof a criminal offense, establishing the location and searching for vehicles and specialequipment of SE “Poltava Oblavtodor” to the Prosecutor General’s Office.

About 400 units of equipment and special mechanisms – this is exactly the terriblediscrepancy between the number of equipment recorded on the balance sheet of theSE and its actual presence was established by members of the special commission ofJSC “State Joint Stock Company “Automobile Roads of Ukraine” based on theresults of the Service Inspection. There is currently no confirmation by relevantdocuments of the transfer or other legal movement of this equipment.

The members of the Commission formed a list of missing transport and specialequipment, which was also sent to the Prosecutor General’s Office as an appendix tothe Statement on the commission of a criminal offense.

At the same time, an official inspection established circumstances that require a thorough investigation by law enforcement agencies of possible illegal actions andthe commission of a criminal offense by relevant officials of the Poltava OblavtodorState Enterprise regarding the property of the State Enterprise and an immediateprocedural response.

The above-mentioned actions of the former heads of the Oblavtodor State Enterpriseand third parties associated with them cannot be called anything other than a seriouscrime and looting during the war.

Evil must be punished!

The actions of state-owned enterprise employees who allowed the loss of specializedmovable property of an enterprise that was supposed to work in the interests of theState, and the heads of private companies who became beneficiaries of theimplementation of criminal schemes for the free use of state property, must receive a legal assessment and punishment provided for by law.

JSC “State Joint Stock Company “Automobile Roads of Ukraine” is taking targetedactions to restore the activities of subordinated road transport companies and returnthem to the orbit of the most powerful enterprises of the road industry of Ukraine.

In order to restore the subjectivity of SE “Odesa Oblavtodor” as an enterprise capableof performing the entire required volume of work on the roads of the region, and tocontrol the prevention of the loss of part of its assets, a group of management of JSC “State Joint Stock Company “Automobile Roads of Ukraine” headed by the actingChairman of the Board of the company Oleksiy DOROSHENKO made a workingtrip to the Odessa region.

Resolving the situation with the State Enterprise “Odessa Oblavtodor” is alsoextremely important and fundamental for the Company and its management in orderto prepare and implement the issues raised in a separate Resolution of the SupremeCourt dated 04/28/2026 in case No. 916/4081/21, in terms of preventing thebankruptcy of the Company’s subordinate oblavtodors, as enterprises that ensure thefunctioning of the road infrastructure of our country during the war and thepossibility of creating a situation when some of them can be liquidated, and theirassets sold off at a minimum cost in favor of private companies and individuals.

That is why, during working meetings with the staff of the subsidiary, the issues ofdecommissioning and repair of specialized equipment and preparing it for theperformance of maintenance work on state and local roads of the region, monitoringthe efficiency of the use of production facilities, the entire list of administrative, warehouse, repair and other premises, the condition and possibility of restoring thesystematic operation of asphalt-concrete plants were discussed.

In the context of increased enemy shelling of critical infrastructure of the Odessaregion, the restoration of the full-fledged activity of the State Enterprise “OdesskyOblavtodor” will become one of the important factors in minimizing the negativeimpact of military factors caused by the aggression of the Russian Federation andwill improve the quality and safety of military and civilian transportation on the roadsof the region.

Professional asset management of a large systemic company with dozens ofsubsidiaries is not only about working with documents and indicators. It is also aboutpersonal communication between the head of the management company andemployees of subordinate enterprises, branches and individual sites.

It is in accordance with this principle that the acting Chairman of the Board of JSC “State Joint Stock Company “Avtomobilni dorogy Ukrainy” OleksiyDOROSHENKO made a working visit to Vinnytsia region.

The most important and most substantive communication with the staff of SE “Vinnytsia Oblavtodor” took place at the head of the Company with employees of theroad repair teams of the subsidiary, who daily provide operational maintenance andcurrent repairs of Vinnytsia highways.

▪ The employees of the company discussed with Oleksiy DOROSHENKO the issueof organizing the implementation of customer tasks and what needs to be donedirectly to make the interaction with them even more qualitative. After all, in parallelwith the implementation of the tasks assigned by the “Service for the Restoration andDevelopment of Infrastructure in Vinnytsia Oblast”, the team of the State Enterprise“Vinnytsia Oblavtodor” is actively working and performing a complex of works onbehalf of local executive bodies and territorial communities.

Also, in addition to the work on the regional road network assigned to the enterprise, the teams of specialists of the State Enterprise are involved in the critically importantwork of ensuring the engineering protection of energy infrastructure facilities of theregion.

State Enterprise “Vinnytsia Oblavtodor” is one of the most powerful enterprises ofJSC “State Joint-Stock Company “Automobile Roads of Ukraine” and the undisputedleader of the road industry of Ukraine as a whole.

▪ The main strength of the enterprise is its team, simple and courageous Ukrainianpeople, who with their work daily ensure the continuity of traffic on the roads of theVINNYTSY REGION

 In conditions of war and a situation of daily shelling, enemy UAV (unmannedaerial vehicles) hits and ballistics on production bases, objectively reinforced bycritically limited funding from the State, the road repair teams of the regional roadmaintenance departments of JSC “State Joint Stock Company “Automobile Roads ofUkraine” continue to provide operational maintenance of public roads of state andlocal importance on a daily basis.

    At the same time, taking into account the difficult situation that has developed inrecent years with the Company’s subsidiaries (SE) and the artificial driving of mostof them to bankruptcy or reorganization, which:

   The Company’s management implemented a number of systemic managementmeasures over the past year (from July 2025 to July 2026), which allowed mostenterprises that are in bankruptcy to become operationally profitable and resumeoperations on the roads of Ukraine.

     In the process of systemic revival of the activities of regional road transport operators and JSC “State Joint Stock Company “Automobile Roads of Ukraine”, 2 key goals were identified for the current year – to ensure:

    According to operational information, as of August 1, 2026, within the framework of the formation of consolidated reporting of SEs included in the structure of the State Joint Stock Company, the Company demonstrates an actual increase in the profitability of conducting business activities due to an increase in the operating income of the majority of operating SEs.

    If, according to the financial statements of the State Enterprise for the first half of 2025, the Company’s net income (according to IFRS) amounted to UAH 907 million, then according to the results of the 6 months of the current 2026, it actually amounted to UAH 1,490 million. Accordingly, the growth in net income compared to the same period last year increased by UAH 583 million, 164.

    The largest income in the first half of 2026 was received from the implementationof road works and amounted to UAH 1,399 million. Income was also received

    As for the separate additional income from leasing property that is not used inproduction activities, providing parking, accommodation and storage services, itactually amounts to UAH 93 million in the first half of the year – which is UAH 5 million more than in the same period last year.

     Receiving significant operating income allows the enterprises of JSC “State Joint-Stock Company “Automobile Roads of Ukraine” to gradually cover the accumulated debt for wages, taxes and fees over the past years, to repair special equipment and vehicles for operational maintenance of highways of local and state importance – so that they, as the most significant part of the country’s transport infrastructure today, are always able to provide the needs of military and civilian logistics and the economic stability of Ukraine as a whole!

Systemic changes in a company that is experiencing a period of restoration of key areas of activity are possible only when its staff feels supported by management and is actively involved in all key processes. And it is this approach that gives the most significant results and joint achievements for the entire team, because only when managers hear the people they work with every day is it the most effective tool for achieving the goal.

That is why, in order to ensure the representation of the interests of employees of JSC “State Joint-Stock Company “Automobile Roads of Ukraine” in labor relations, in accordance with the provisions of the “Labor Code of Ukraine”, on July 30, 2026, a general meeting was held at the Company’s office, at which authorized representatives of the labor collective were elected. And this is extremely important, because it additionally gives the Company’s employees a legally defined tool for initiating important decisions – both for each of them and for the entire collective of the enterprise as a whole.

Considering that JSC “State Joint-Stock Company “Automobile Roads of Ukraine” is a historically large and powerful state operator of the road industry of Ukraine, which is currently experiencing a period of reorganization of management processes, the key emphasis placed in working with personnel is that the Company is not so much concerned with a large number of employees as with their personal qualities, initiative, ability to implement technically complex tasks and the ability to overcome obstacles of any complexity on the way to achieving the goal.

That is why, during the year (July 2025 – July 2026), the Company’s management carried out a systematic policy of analysis, monitoring and further optimization of personnel not involved in the main type of activity of enterprises – operational maintenance and routine repair of public roads.

In the process of studying the work of the regional road maintenance workers, it was revealed that a certain number of people:

• are only nominally registered in the personnel departments of subsidiaries, and do not participate in work processes,
• they are accrued but not paid wages – due to which arrears are artificially formed, which can later be used in an attempt to bankrupt enterprises by third parties interested in embezzling property belonging to the State.

As of the end of June 2025, the company’s average number of full-time employees was 3,722 employees. As of the end of June of this year, it is 3,261 employees. It should also be noted that in the regional road construction companies, which objectively reduced the performance of road works, the reduction in the number of employees was much more significant than the general trend indicator. And the enterprises, which are systematically leaders of the Company and the road industry as a whole in the performance of road works, significantly increased the volume of work performed and increased the number of employees.

The uniqueness of JSC “State Joint Stock Company “Automobile Roads of Ukraine” is that a large number of employees, who once long ago joined the ranks of a large team, continue to work in it today for many decades. And in order to recognize the best of them – those who have been working at the company and in the road industry for over 40-50 years and have achieved outstanding results, the Company’s management is preparing special corporate awards for Independence Day!

JSC “State Joint Stock Company “Automobile Roads of Ukraine” is systematically working to increase the efficiency of the activities of subordinate regional road transport companies and strengthen the financial stability of the Company as a whole.

And this work is already yielding significant results today – there is a significant improvement in the settlement of priority payments, for example, for the payment of taxes and fees to the state budget of Ukraine!

220.9 million UAH of funds were transferred in the first half of 2026 by JSC “State Joint Stock Company “Automobile Roads of Ukraine” and its subsidiaries for the payment of taxes and fees.

– This is 24%, or 42.4 million UAH, more (!) compared to the first half of 2025.

At the same time, even if we discard the inflation factor, the growth will still be more than significant, because if we analyze the inflation rate for different periods, according to the State Statistics Service, according to the results:

• In the first half of 2025 (from January to June), it amounted to 6.6%
• In the first half of 2026 = 5.7%
• 12 months of 2025 = 8.0%

That is, even if one of the opponents notes that the increase in the tax payment rate of 24% can be considered nominal, then no one will be able to deny that the values ​​​​at the level of 16.0-18.3% are absolutely indisputable data on the real growth in the payment of taxes and fees by JSC “State Joint-Stock Company “Automobile Roads of Ukraine” to the state budget of the country.

Considering that the regional road maintenance departments subordinate to the Company:

• are actively engaged in economic activities in the field of operational maintenance of highways,
• reviving the production direction of activity in terms of the operation of quarries and asphalt-concrete plants,
• effectively streamlining relations with tenants of real estate, and also preparing a transparent and public sale of surplus property that is not used in their activities – in cases where this is provided for by the relevant procedures, the indicator of payment of taxes and fees in the second half of 2026 is expected to be even more significant and significantly significant!

JSC “State Joint Stock Company “Roads of Ukraine” – as a key operator of the road infrastructure of Ukraine, whose activities are subordinated to state, not commercial interests, together with each of the subsidiaries that are part of the group of companies, is effectively restoring its own activities, increasing the volume and quality of operational maintenance of state and local roads and doing everything to ensure that the volume of mandatory payments to the state budget always demonstrates positive and significant growth!

The country continues to undergo large-scale restoration of highways, which in wartime are the basis of critical transport infrastructure, ensuring both civilian and military logistics, as well as economic stability in general.

The results of the operational maintenance of the network of state and local highways assigned to the Company’s subordinate highway departments and the Company’s development plans as a key state operator of road infrastructure in Ukraine were reported on Suspilny by the Acting Chairman of the Board of JSC “State Joint-Stock Company “Avtomobilni dorogy Ukrainy” Oleksiy Doroshenko

The work of the highly professional team of the Kyiv Oblavtodor State Enterprise is always focused on excellent and prompt performance of tasks aimed at ensuring comfortable travel on the region’s roads and the safety of life of each road user.

• Given the importance of the enterprise’s predictable exemplary work for the capital region, the management of JSC “State Joint Stock Company “Automobile Roads of Ukraine” pays special attention to systematic work on its development and constant communication with employees.

On July 21, the Acting Chairman of the Board of the Company Oleksiy DOROSHENKO, together with the Director of the Kyiv Oblavtodor State Enterprise Natalia LAVRENCHUK, visited the production facilities of the subsidiary in order to analyze the preparation of a set of measures for the 2nd half of the year and especially the work on the operational maintenance of the regional road network assigned to the State Enterprise in the autumn-winter period.

• Professional conversation combined with warm human communication is always a guarantee that plans will be formed, resources prepared, and the work delivered to the enterprise by Customer Services will be completed: clearly on time, in full, and with the highest quality!

In the conditions of war, when every person in Ukraine is exposed to terrible events, they desperately need the support of society and their immediate environment.

This especially applies to our heroes – veteran soldiers, who during their service have experienced thousands of stressful situations, shelling, concussions, injuries, amputations, have seen the terrible death of their comrades, and now… – now they are returning to peaceful professional activities.

• That is why the staff of JSC “State Joint Stock Company”Automobile Roads of Ukraine” is implementing a systematic support program for our veterans with the aim of their further employment, social adaptation and involvement in the process of rebuilding the Country!

Within the framework of this important task, the State Enterprise “Kharkivskyi oblavtodor” signed a “Memorandum of Cooperation” with the civil platform “Veteran Corps”, the main task of which is the balanced and systematic inclusion of veterans in full-fledged civilian life, as well as the use of their unique experience and training for the effective construction of Ukraine – as a powerful security Leader of the European Community.

Supporting veterans is not only a task of the State!

This is a task for every person, business company, institution or organization that makes up the peaceful environment of a veteran.

• Therefore, the staff of JSC “State Joint Stock Company”Automobile Roads of Ukraine” will actively help our Ukrainian veterans and provide opportunities for their professional development and adaptation to the new realities of society.

Systematic work always requires a transparent analysis of the achieved results. It is on this principle that JSC “State Joint Stock Company “Automobile Roads of Ukraine” builds its own activities.

Only 6 of the 24 road maintenance companies subordinate to the Company as of July 2025 were engaged in economic activities in the field of operational maintenance of highways. The rest were in bankruptcy or reorganization procedures, with arrested settlement accounts without the ability to participate in tenders for the performance of works. In such conditions, the Company, as a key state operator of the road industry of Ukraine, significantly reduced its own subjectivity in the road works market in favor of private companies.

The new management of JSC “State Joint Stock Company “Automobile Roads of Ukraine” within a short period of time carried out organizational measures, as a result of which a significant part of the road maintenance companies became operationally profitable and resumed their activities.

As a result, winter operational maintenance and the fight against ice and the consequences of bad weather in December were already carried out not by 6, but by 19 regional road maintenance companies, which on peak days provided the share of their road repair crews at more than 40% (of the total number of employees in the industry), and equipment – 37%. On average, the share of the Company’s subsidiaries in winter maintenance was within 25%.

According to the results of 2025, the volume of road works/services performed by subsidiaries of JSC “State Joint Stock Company “Automobile Roads of Ukraine” amounted to – 1848.4 million UAH, of which – 1600.5 million UAH was performed by their own forces (including on state-owned roads – 985.3 million UAH, on local and municipal roads – 615.2 million UAH).

In the first half of 2026, the total volume of road works/services performed amounted to 1463.1 million UAH, of which 1128.9 million UAH were performed by own forces, including 758.2 million UAH on state roads and 370.7 million UAH on local and municipal roads. This indicates an increase in the total volume of work performed in the first half of 2026 by 77% or 826.4 million UAH compared to the first half of 2025, including an increase in the volume of work performed by own forces by 54% compared to the first half of 2025 or 734.7 million UAH.

• Preliminary in 2026, the total amount of income (including VAT) is expected to be UAH 3.0 billion, including approximately UAH 2.6 billion from road works, UAH 85 million from sales of own production products, UAH 235 million from leasing property, and UAH 80 million from other income. This is significantly more compared to 2025 and means that in 2026 the Company plans to increase income by 60% compared to the previous year.

JSC “State Joint-Stock Company “Automobile Roads of Ukraine” is actively reviving the activities of its own asphalt concrete plants and the production of road construction materials. In the first half of 2026, 24,780 tons of asphalt concrete products were produced, which is 2,856 tons or 12% more than in the same period last year.

The revival of the work of quarries on the balance sheet of the SE Company is also actively underway. Let us give as an example the Ivano-Frankivsk specialized quarry of the State Enterprise “Ivano-Frankivsk Oblavtodor”, which increased the extraction of rock mass in the first half of 2026 compared to the first half of 2025 by 19.5 thousand m³ – or almost 5 times. This ensured an increase in income by 8.9 million UAH – or 6.6 times.

Active work on streamlining all production processes allowed the Company to achieve significant positive results. Already according to the results of the 1st quarter of 2026, the Company’s net income increased by UAH 302.0 million compared to the 1st quarter of 2025, or by 75%, and amounted to UAH 707.2 million.

According to the results of the 1st half of 2026, net income is expected to amount to UAH 1,183.7 million, which is UAH 324.2 million or 37.8% more than in the 1st half of 2025. The forecasted amount of net income for the 12 months of the current year should be UAH 2,710 million, which is 47% more than in 2025 and 65% more than provided for in the financial plan.

In parallel, in the second half of 2025, work was carried out to streamline relations with tenants of real estate (not used in production activities). As of 12/31/2025, this ensured the presence of 301 valid lease agreements for a total monthly payment (including VAT) of UAH 11,385 thousand. In the first half of 2026, the number of lease agreements increased by 66 units and amounted to 367 valid agreements – the total amount of the monthly payment provided for by the agreements increased by UAH 3,325 thousand or by 23% and amounted to UAH 14,710 thousand.

Significant results were achieved in the issue of receiving funds by the Company’s subsidiaries. Over the 12 months of 2025, UAH 2,385.4 million was received on the current accounts of enterprises, including:

• for the first half of 2025 – UAH 940.3 million or 40% of the annual amount,
• for the second half of 2025 – UAH 1,445.1 million or 60% of the annual amount.
• It should be noted that 40% of the income for 2025 was received in the 4th quarter.

In the first half of 2026, funds of UAH 1,379.4 million were received, which is UAH 439.1 million or 47% more than in the same period last year. This allowed improving the calculations of priority payments. In particular, the volume of transfers of funds for the payment of taxes and priority payments in the first half of 2026 increased compared to the first half of 2025 by UAH 42.4 million or 24% and amounted to UAH 220.9 million.

The volume of funds directed to the repayment of overdue arrears in the payment of pensions accumulated in previous periods also increased.

In March–June 2026, the overdue debt accumulated in January–February of this year (due to the lack of financing for road works) in the amount of UAH 31.5 million was repaid and the one accumulated at the beginning of 2026 was reduced by UAH 31.3 million.

Overdue debt was repaid to 1,043 individuals.

As of July 10, 2026, the overdue debt for salary payments amounted to UAH 262.5 million. At the same time, as of March 1, 2025, it amounted to almost UAH 294.9 million, but in 10 months it was reduced to UAH 261.2 million (as of December 31, 2025). This year, it is planned to reduce it to UAH 220 million.

JSC “State Joint Stock Company “Automobile Roads of Ukraine” is a key operator of the road infrastructure of Ukraine, whose activities are subordinated to state, not commercial, interests, and which has at its disposal a full-fledged historically built and systematically branched network of its own assets aimed at ensuring the operational maintenance of public roads and performing tasks of a defense and critical infrastructure nature!

In order to increase revenues by 60%, compared to the results of 2025, the management team of JSC “State Joint-Stock Company “Automobile Roads of Ukraine” constantly monitors the production capacities of 24 subordinate oblavtodors.

It is for this reason that the acting Chairman of the Board of the company Oleksiy DOROSHENKO made a business trip to the western region of Ukraine in order to clearly identify potential sources of growth of the SE with the directors and chief engineers of subordinate enterprises and decide what exactly needs to be done step by step to significantly increase the volume of road works and services performed by the enterprises.

A detailed discussion of all current issues of the Company’s activities took place during Oleksiy DOROSHENKO’s visit to the administrative and production premises of the SE “Ternopilsky oblavtodor” and the SE “Khmelnytskyy oblavtodor”.

After the discussion, clear decisions were formed that the teams of enterprises should implement to revive and increase the fleet of specialized machines and mechanisms that will help to fully enter the state and local roads and ensure the fulfillment of the tasks proven by the customer services.

The issues of activating the opportunities for launching asphalt concrete plants on the balance sheet of enterprises and significantly increasing their production of asphalt concrete mixture – both for their own needs and on orders from other companies in the road industry of Ukraine were also discussed!
