JSC “State Joint-Stock Company “Automobile Roads of Ukraine” is systematically working to optimize the operations of its subordinate subsidiaries (regional road administrations) and to establish an effective management structure for its own assets.

Addressing these issues is absolutely essential, as—in conjunction with other efforts to resume the Company’s operations—it will enable the Company, as the key state operator in the road sector and an enterprise of strategic importance to the transportation infrastructure as a whole under martial law, to effectively ensure:

comprehensive fulfillment of priority tasks under martial law in the areas of operational maintenance and emergency repair of state highways;

uninterrupted military and civilian logistics, the functioning of humanitarian corridors, and the maintenance of our country’s economic stability as a whole!

Accordingly, as part of the process of stabilizing the Company’s financial condition and creating conditions for the resumption of its production and operational activities, JSC “State Joint-Stock Company “Automobile Roads of Ukraine ” is carefully addressing the issue of the effective use and management of its own property portfolio.

Through the inventory of movable and immovable property held by regional road administrations, a list is being compiled of assets that will be fully utilized by enterprises in their core operations, as well as a list of non-core assets and surplus property.

On the one hand, this allows for the transfer of such assets to interested private operators through open auctions with maximum transparency and at market prices—in order to settle the arrears in wages, taxes, fees, and other creditor claims accumulated by the Company’s previous management.

On the other hand, once the relevant management decision is made, it will create a fully legal framework for selling existing surplus assets at open auctions, which will allow the proceeds to be directed toward the financial recovery of the Company and its subsidiaries, the implementation of measures to optimize production infrastructure and relocate production facilities, and ensure the systematic transfer of dividends to the state budget to strengthen our country’s defense capabilities.

For this reason, since April 2026, JSC “State Joint-Stock Company “Automobile Roads of Ukraine” has been implementing a series of measures to expand the pool of potential lessees for surplus assets and to promote the properties offered for lease.

Auctions for the lease of real estate are conducted by the Company’s specialists through the “Prozorro.Sales” electronic trading system in accordance with the requirements of current legislation.  At the same time, in order to inform as wide a range of potential tenants as possible and increase interest in participating in the auctions, 205 informational listings regarding real estate properties on the Company’s balance sheet have already been posted on the specialized platform “OLX.ua.” Another 23 listings are scheduled to be posted

Ukraine is once again under attack by the enemy.

The enemy is mercilessly attacking our cities and villages, using missiles to destroy residential buildings and civilian infrastructure, and devastating the property and production capacity of Ukrainian businesses.

Companies in the transportation sector, which ensure traffic flow on our country’s roads, are also suffering from the enemy’s attacks, every missile and drone strike by the enemy is a crime against humanity. A crime that is being documented by the relevant state agencies and for which the enemy will be held fully accountable.

JSC “State Joint-Stock Company “Automobile Roads of Ukraine” also documents every instance of damage and destruction resulting from the armed aggression of the russian federation against real estate owned by its subsidiary companies (regional road administrations) and systematically enters this information into the relevant State Register of Damaged and Destroyed Property (SRDD). As of July 1, 2026, 51 properties have been entered into the SRDD, including:

in the Dnipropetrovsk region—1 (18 buildings and 65 items of movable property. Degree of damage = 80–100%);

Donetsk Oblast – 1 (3 buildings, a railroad siding, and an asphalt mixing plant damaged);

Kyiv Oblast – 4 (7 buildings damaged (damage level = 40–80%) and 6 buildings (= 20–40%). 27 units of rolling stock were destroyed);

Kirovohrad Oblast – 1 (8 buildings, a loader, and an asphalt mixing plant were damaged);

Mykolaiv Oblast – 2 (8 buildings damaged. Degree of damage = 40–80%. 6 units of movable property destroyed);

Poltava Oblast – 1 (2 buildings damaged. Degree of damage = 80–100%);

Sumy Oblast – 4 (9 buildings damaged; of these, 6 have a damage level of 80–100%, and 3 have a damage level of 40–80%. 19 units of movable property were destroyed, as well as an asphalt mixing plant);

Kharkiv Oblast – 24 (24 production facilities were damaged. The damage level for 7 facilities is 20%, for another 5 facilities it is 20–40%, for 11 facilities it is 40–80%, and 1 facility was almost completely destroyed and cannot be restored);

Kherson Oblast – 13 (russian aggressors have looted nearly all property. Control over most production facilities has been lost. The remaining production facilities have been destroyed).

As of today:

the estimated minimum amount of lost profits exceeds 4.2 billion UAH,

and direct losses exceed 1.1 billion UAH.

The destroyed production facilities will be rebuilt, and the specialized road equipment and machinery of JSC “State Joint-Stock Company “Automobile Roads of Ukraine” will once again be operating on Ukraine’s roads!

The process of returning a large system company in the past to the status of a key state operator of the country’s road industry is a significant amount of joint efforts of a large team of professionals united by a common goal.

This is exactly how the team of JSC “State Joint-Stock Company “Automobile Roads of Ukraine” operates in order to ensure the comprehensive implementation of the state’s priority tasks under martial law in the field of operational maintenance and emergency restoration of state-owned highways – as an extremely important element of the critical transport infrastructure of Ukraine.

Analyzing the interim results of the work on eliminating emergency potholes, it is possible to state that the results justify the planned expectations.

Since the beginning of March, when the road repair teams of the Company’s subsidiaries (regional road maintenance companies) began active work on the roads of the Motherland, 469,472.5 m² of emergency potholes have been eliminated and, accordingly, the road surface has been restored for safe and unhindered movement of road transport.

• Only this week (15-21.06.2026) 52,432.8 m² of potholes were eliminated.

This was achieved thanks to the united work of the Company’s team not only in terms of carrying out road repair work, but also due to the restoration of the production line.

At the asphalt concrete plants (ABZ) subordinate to the subsidiaries of JSC “State Joint Stock Company “Automobile Roads of Ukraine”, 21,087.2 tons of asphalt concrete mixture (ABS) have been produced since the beginning of the year – which is 80% more than in 2025, of which 667.8 tons of ABS were sold to private operators of the road industry of Ukraine.

It should be noted that the vast majority of pothole repairs by road repair teams of regional road maintenance departments are carried out directly by eliminating potholes, which significantly saves money for state customers and is extremely important in conditions of martial law.

Systemic crisis in the road industry: the Supreme Court demands urgent intervention from the Cabinet.

What does a separate ruling in the case of the Subsidiary Enterprise “Odessa Oblavtodor” signal and why the bankruptcy procedure of state-owned enterprises has become a threat to the infrastructure and national security of the country.

The Cassation Economic Court of the Supreme Court has adopted a precedent-setting decision that goes far beyond the boundaries of an ordinary commercial dispute. With its separate ruling of April 28, 2026 in case No. 916/4081/21, the highest court appealed directly to the Cabinet of Ministers of Ukraine. The reason for such a step, at first glance, is local – the critical situation surrounding the bankruptcy of the Subsidiary Enterprise “Odessa Oblavtodor”. However, behind the name of one subsidiary, a deep, chronic disease of the entire strategic sector of the state is hidden. The Supreme Court made it clear: the judicial system will no longer turn a blind eye to the liquidation of assets that ensure the country’s vital activities due to the inaction of relevant officials.

The history of the liquidation of the Subsidiary Enterprise “Odessa Oblavtodor” bears signs not only of economic insolvency, but of a consistently implemented scenario of purposefully bringing the enterprise to bankruptcy, which was largely a consequence of a systemic problem in making managerial decisions. The state asset for a long time actually remained without proper support, and key decisions were either not made in a timely manner, or were formal and ineffective, which deliberately contributed to the accumulation of critical debt.

​Bankruptcy proceedings were opened back in July 2022, with the introduction of a moratorium and a property disposal procedure. However, these tools, instead of stabilizing operations, were not used properly due to the lack of a clear strategy and responsible management decisions, which only deepened the crisis. Even the approval of a three-year rehabilitation plan in June 2024 looked more like a formal step than the result of thoughtful anti-crisis management.

Further events indicate a systemic failure to fulfill obligations: ignoring the debt repayment schedule, increasing debt, and the lack of effective measures by responsible persons, which directly indicates managerial incompetence or deliberate delaying of processes. In August 2025, the initiation by the chairman of the creditors’ committee of the issue of declaring the enterprise bankrupt was the logical conclusion of this process, which developed according to a previously predicted scenario.

The court decisions to terminate the rehabilitation and initiate the liquidation procedure formally comply with the requirements of the legislation. At the same time, in a broader context, this appears to be a consequence not only of inaction, but also of a systemic crisis in decision-making in the management of state-owned enterprises, which has actually led to the loss of a strategic asset and creates serious risks for state interests, raising the question of whether there are signs of bankruptcy.

​At the court hearing, the Company’s representative, Zhyrna Ya.V., presented convincing arguments in support of the cassation appeal, emphasizing the inadmissibility of liquidating such subsidiaries. The Supreme Court completely overturned the liquidation decision and sent the case for a new hearing. The highest court pointed out that the lower courts had approached the process too formally. They had completely ignored the provisions of Article 96 of the Code of Bankruptcy Procedures of Ukraine (CUB), which regulates the specifics of bankruptcy of state-owned enterprises. Liquidation of the Subsidiary Enterprise “Odessky Oblavtodor” is not just the closure of a private company. The Supreme Court emphasized that the liquidation procedure means the complete cessation of the entity’s economic activity without legal succession. In practice, this will lead to the actual cessation of construction, reconstruction, repair and, most importantly, daily maintenance of public roads of state importance. At a time when logistics and transport arteries are a matter of state survival, such an approach is unacceptable.

The most resonant part of the court ruling is the list published by the court. “Odessa Oblavtodor” is just the tip of the iceberg. Bankruptcy proceedings are currently open against more than fifteen other oblavtodors throughout Ukraine: SE “Volyn Oblavtodor”, SE “Dnipropetrovsk Oblavtodor”, SE “Rivne Oblavtodor”, SE “Ternopil Oblavtodor”, SE “Mykolaiv Oblavtodor”, SE “Zaporizhzhia Oblavtodor”, SE “Poltava Oblavtodor”, SE “Kyiv Regional Road Administration”, SE “Zhytomyr Oblavtodor” and SE “Cherkasy Oblavtodor”, SE “Kirovohrad Oblavtodor”, etc. This list is impressive. We are not dealing with isolated commercial failures of individual managers, but with clear evidence of a long-term systemic payment crisis in the state road sector. The court directly states: the bodies authorized to manage this property are demonstrating inaction. They allow judicial procedures to completely limit or paralyze the management bodies of road companies, instead of eliminating the root causes and factors of the debt hole.

This separate ruling is revolutionary, as it actually changes the rules of the game and the philosophy of considering bankruptcy cases of strategic state-owned enterprises. The court recognized that the application of standard procedures of CUB to such enterprises is the least effective development of events. Judicial reorganization drags on for years, creating uncertainty for creditors, and liquidation simply destroys the enterprise. Non-judicial options for exiting the crisis have priority, but state bodies ignore them.

In this regard, the Court demands an immediate return to the principle of “good governance”. State bodies are obliged to act in a timely, consistent and appropriate manner. Article 4 and Article 96 of the CUB clearly impose on the Cabinet of Ministers of Ukraine and relevant ministries the obligation to promptly identify signs of insolvency and take measures to prevent the bankruptcy of state-owned enterprises.

​At the same time, the Supreme Court demonstrated a very balanced position that will not allow state officials to use this decision as a shield from creditors. The court specifically emphasized: the debtor’s belonging to the public sector of the economy does not create procedural immunity for him from bankruptcy procedures. The state cannot unreasonably postpone the satisfaction of the claims of a private business that has honestly performed its work or supplied materials. Bankruptcy proceedings should not replace state administration. If the enterprise is of public importance, the state must either ensure its solvency or, in the event of liquidation, clearly identify other persons who will take over the functions of road maintenance in order to prevent the collapse of the transport system.

Thus, the Supreme Court, as a representative of one of the branches of government, has in practice used a system of checks and balances, which, in turn, is a support in protecting state interests, preventing the formal approach to interpreting legal norms from making it possible to harm a strategically important industry.

Since July 2025, JSC “State Joint-Stock Company “Automobile Roads of Ukraine” has been pursuing a systematic policy of active search and return of specialized road equipment and mechanisms that are on the balance sheet of the company’s subsidiaries, road construction companies, but were lost as a result of the criminal mismanagement of previous managers.

This is equipment that over the past decade and a half has been transferred to private road operators at non-market prices, and then simply disappeared, was simply stolen from the production bases of road construction companies and was even hidden in private estates.

– But as the popular saying goes: “No matter how much rope you twist, there will be an end.”

An example of the inevitability of consequences for criminal actions is the decision of the Zvyahel City District Court of Zhytomyr Region regarding a former employee of the State Enterprise “Zhytomyr Oblavtodor” (OJSC “State Joint Stock Company “Automobile Roads of Ukraine”) who, while holding the position of a materially responsible person and abusing his official position, appropriated and sold off the Oblavtodor’s road equipment and other property with impunity in the period 2019-2022. It has been proven that the accused appropriated 4 vehicles – 2 tractors, a passenger car and a garbage truck. He explained his actions regarding the equipment he stole, which he transported for storage to his home and to a neighboring farm, as follows: “so that other thieves would not steal it.”

The court found the man guilty of causing damage in the amount of – handcuffs on his wrists and six years in prison for the “enterprising” official from Zvyahel now ahead.

This is exactly what will happen to all dishonest employees of the company who are trying to turn an enterprise 100% owned by the State into their own store.

Today, the management of JSC “State Joint Stock Company “Automobile Roads of Ukraine” is conducting a number of official investigations into possible facts of abuse of official position by officials of the regional road transport departments and obtaining illegal benefits from the use of movable and immovable property of subsidiaries.

• All materials of official investigations are currently being transferred to the relevant investigative bodies in order to further obtain the actions of the said officials in accordance with the current Code of Criminal Procedure and to issue court decisions.

That is why the management of JSC “State Joint Stock Company “Automobile Roads of Ukraine” calls on all those who have illegally seized the property of the regional road transport departments and illegally use it for their own selfish purposes to voluntarily return it to the Company’s subsidiaries – while there is still such an opportunity.

Whoever does not do this – let him blame himself.

The finale will be logical and the payback for greed will overtake everyone who confuses their own pocket with state property.

JSC “State Joint-Stock Company “Automobile Roads of Ukraine” continues to implement the strategy of restoring production potential, increasing the efficiency of enterprises and strengthening financial stability. The results of activities for the first quarter of 2026 indicate a significant improvement in key production and financial and economic indicators and confirm the correctness of the chosen course of development of the enterprise and its optimization.

The company has set itself an ambitious goal – to ensure an increase in key production and financial indicators by 60% in 2026.

Already according to the results of the first three months of the year, the achieved indicators significantly exceed the planned rates.

According to the results of the first quarter of the current year, the total volume of work performed by the Company’s subsidiaries (regional road maintenance departments) amounted to UAH 659 million, which is 99.7% more compared to the same period in 2025, when this indicator was UAH 329 million.

The growth in the volume of work performed by the Company’s subsidiaries is particularly significant.

In January-March 2026, they amounted to UAH 496 million compared to UAH 288 million for the same period last year, which provided an increase of 72%.

This indicates a more efficient use of production resources, equipment and human resources of subsidiaries.

The production direction of JSC activities demonstrated significant growth.

According to the results of the 1st quarter, the output of asphalt concrete mixture increased by 95% – from 5,506 tons to 10,738 tons.

Which confirms the effectiveness of the Company’s efforts to intensify production processes and prepare the DP for large-scale road works this year.

Positive dynamics are also observed in asset management.

Income from real estate rental increased by 16% and amounted to UAH 43.2 million compared to UAH 37.2 million in the first quarter of 2025. This is the result of systematic work to increase the efficiency of using the Company’s property complex.

According to preliminary data, net income from the sale of work performed, products manufactured and services provided in the first quarter of 2026 increased by UAH 308.7 million, or 93% compared to the same period last year. Such growth is actually one of the best performance indicators in recent years and confirms the qualitative restoration and revival of the core economic activity of the Company and its subsidiaries.

Cash flow indicators have improved significantly.

Income from operating activities, including the sale of work performed, products, services of machines and mechanisms, property rental, parking, accommodation and storage services, in the first quarter of 2026 amounted to UAH 431.5 million. This is UAH 44 million more than in the same period last year.

Particular attention is paid to the social component of the Company’s activities.

The average monthly salary of one full-time employee in the first quarter of 2026 was UAH 14,457, which is UAH 3,369, or 30% more compared to the first quarter of 2025.

The increase in the level of remuneration is an important step in supporting labor collectives and preserving the human resource potential of the enterprises of JSC “State Joint Stock Company “Automobile Roads of Ukraine”!

The achieved results indicate a stable resumption of production activities, an increase in the volume of work, improved financial indicators and more efficient use of the Company’s resources!

JSC “State Joint Stock Company “Automobile Roads of Ukraine” continues systematic work to strengthen its positions in the market for the provision of services for the operation of public roads of state and local importance, the development of production capacities and ensuring the sustainable functioning of enterprises in all regions of Ukraine.

The results of the first quarter of 2026 confirm that the Company is confidently moving towards the implementation of the strategic goal – ensuring an increase in key performance indicators by at least 60% by the end of the year and further increasing the efficiency of the entire system of JSC “State Joint Stock Company ” Automobile Roads of Ukraine” and confirm the absolute possibility of paying dividends to the State by the end of 2026.

The last time dividends were paid to the State by the Company was in 2010.

It was on the development of human capital that the acting Chairman of the Board of JSC “State Joint-Stock Company “Automobile Roads of Ukraine” Oleksiy DOROSHENKO first of all paid attention during his visit to Volyn in communication with the staff of the subsidiary. After all, building a team of like-minded people in the enterprise is always a labor-intensive process that requires significant efforts not only from the head of the state enterprise, but also from each employee of the branches subordinate to him.

During the business trip, Oleksiy DOROSHENKO visited the operating sites of the subsidiary enterprise “Volynoblavtodor” where, in communication with employees, he received up-to-date information about the state of the enterprise not from financial reports, but first-hand.

The meeting with the management of the “Service for the Restoration and Development of Infrastructure in the Volyn Region” was especially rich and fruitful. Issues of the rehabilitation of the Subsidiary Enterprise “Volynoblavtodor” and further development steps were discussed, which will enable the enterprise to provide the entire necessary complex of works for the operational maintenance of roads of state and local importance in the Rivne region.

… WITH A BURDEN ON THE SOUL – this is how one can classify a visit to the production base in the city of Lutsk, which on the night of May 8-9 was attacked by an unidentified group of persons who cynically and brutally destroyed the equipment installed at the base, broke the windows in the premises and damaged the equipment that was there at that time. As it turned out during the investigation, a group of people who entered the production base with criminal intentions tried to set fire to the premises, but fortunately they did not succeed

Despite such unfortunate cases of vile vandalism, the team of the subsidiary enterprise “Volynoblavtodor” is currently actively working shoulder to shoulder, demonstrating positive dynamics of financial indicators and doing everything to gradually restore the status of a key operator of the road industry in the Volyn region!

Continuing the systematic work on the revival of the company as a reliable state operator in the field of road construction in Ukraine, JSC “State Joint Stock Company “Automobile Roads of Ukraine” continues to develop the direction of cooperation with international organizations interested in the reconstruction of the infrastructure destroyed by the aggressor and, in particular, the restoration and modernization of Ukrainian roads.

a balanced approach to optimizing the cost of products, which made it possible to increase its competitiveness;

ensuring the Company’s subsidiaries’ issues of logistical stability, when all issues of supplying components and shipping finished products are systematically ensured at each stage of its production;

stable market demand for products – an increase in the volume of road works due to significant deformation of the road surface and the need to eliminate emergency potholes after the difficult winter of 2025-2026.

Last week, the acting Chairman of the Board of the Company Oleksiy DOROSHENKO worked in Sumy region, where, together with the team of SE “Sumy Oblavtodor”, possibilities for expanding production capacities were developed.

At a meeting with the management of the Infrastructure Restoration and Development Service in Sumy region, issues were discussed about what exactly needs to be done by JSC “State Joint Stock Company “Automobile Roads of Ukraine” in the near future in order to form the basis for the possibility of strengthening the positions of SE “Sumy Oblavtodor” as a key operator of the road industry of Sumy region, which ensures operational maintenance of regional roads, their current repair and traffic safety.

Also, special attention of the Company’s management was paid to the fulfillment by the SE team of the tasks assigned to the enterprise by the State Special Transport Service of the Ministry of Defense of Ukraine in order to ensure the needs of the transport infrastructure, which performs the function of supplying the Armed Forces of Ukraine with everything necessary to perform tasks for the defense of Ukraine.

And yesterday, Poltava region received the head of the Company.

Together with the team of SE “Poltava Oblavtodor”, the plan for launching the restored asphalt concrete plant and other plans to be implemented in the near future was carefully discussed.

The equipment that performs a complex of works on the current repair and maintenance of the road network assigned to the SE was also inspected.

Oleksiy DOROSHENKO was impressed by such a good technical condition of the maintenance of large-sized transport and equipment of the enterprise. Equipment that has been in service for many years and which during its work has participated in the restoration of hundreds of thousands of roads of state and local importance.

The key to why not-at-all-new equipment is in such good condition is PEOPLE who have been working on it for many years and treat it as something of their own, close and dear, which provides the opportunity to work honestly and responsibly and benefit the entire road industry of Ukraine!

On Monday, May 11, the acting Chairman of the Board of JSC “State Joint Stock Company “Automobile Roads of Ukraine” Oleksiy DOROSHENKO communicated with the Company’s employees during the open line. There were many calls, concerns, emotions during communication and at the same time constructive.

One such example was the situation in the SE “Kirovogradsky Oblavtodor” and the employees’ concerns about the quality of management of the enterprise.

Accordingly, Oleksiy DOROSHENKO immediately suggested that in order to resolve the situation, they meet with the heads of the branches of this SE, the head of the trade union, the chief accountant and the chief engineer of the enterprise in order to work out and make effective joint decisions.

And today, May 15 (Friday), this meeting took place in the office of JSC “State Joint-Stock Company “Automobile Roads of Ukraine”. The meeting was attended by 11 representatives of the State Enterprise “Kirovogradsky Oblavtodor”, 7 of whom were branch managers.

During the conversation, the representatives of the State Enterprise and Oleksiy DOROSHENKO discussed many important issues, but the main one was the issue of preserving the team of qualified road workers who have been working together for many years in the interests of the road industry and the country as a whole.

An important decision was made unanimously without any voting to give young and qualified employees the opportunity to show themselves to the maximum in the management positions of the State Enterprise.

That is why, at the suggestion of the The Chairmen of the Board of JSC “State Joint Stock Company “Automobile Roads of Ukraine” all those present supported the decision that the young, ambitious and highly professional head of the Malovyskiy District Road Transport Authority Alina LABUNETS will take on the key function of ensuring the management component at the enterprise and, after signing the relevant documents, will ensure its effective management.

For JSC “State Joint Stock Company “Automobile Roads of Ukraine”, the main thing is people who can ensure the result and vital activity of the Company, as a key operator of the country’s road infrastructure!
